This Memorandum of Understanding (“MOU”) is entered into between the Rapid City Public Library (“RCPL”) and the Journey Museum.

Purpose:  This agreement is entered into pursuant to an understanding that both parties will work together to gather, promote and display oral histories of the 1972 Rapid City flood.

Rapid City Public Library Responsibilities:  RCPL shall provide oral histories of

the 1972 Rapid City flood to the Journey Museum.  These oral histories will be in the

all rights to the materials, and may request the return of any or all materials at RCPL’s

discretion.  In addition, RCPL will provide a venue for the oral histories to be

accessed in the ‘library online collection.’

Journey Museum Responsibilities:  The Journey Museum shall provide a venue for the

oral histories to be viewed and/or heard by visiting members of the museum.  All displays

of the oral history materials shall acknowledge RCPL as the provider and owner of such

materials.

Effective Date and Termination:  The effective date of this MOU is the date of the signature last affixed to this page.  Either party may terminate this agreement with thirty (30) days written notice to the other.  Absent written notice of termination, this MOU will automatically terminate on December 31, 2006, unless further extended in writing by both parties.  Upon termination of this agreement, the Journey Museum shall return all oral history materials to RCPL.  Further, the Journey Museum shall be responsible for any lost or damaged property provided by RCPL.
